Model Contract Clauses — Modern Slavery

Purpose and how to use this document

This document is for contract managers preparing or renewing supplier, subcontractor and consultancy agreements. It provides two tiers of ready-to-paste clauses so that modern slavery obligations are captured consistently across BONDAP's contracts repository, and so each contract can be flagged with its modern slavery risk level as required by our Risk Management Framework.

Which tier to use: the tier follows directly from the supplier's tier under the Supplier Due Diligence Procedure and Modern Slavery Questionnaire — the contract manager does not make a separate judgement here:

  • Tier A (short-form warranty) — use for suppliers risk-tiered Low. In practice this means routine SaaS/software purchases, professional services engagements, and IT equipment or services orders, in every case only where the supplier is in a low-risk category and a Low geography band and BONDAP's total expected spend with that supplier is £10,000 per annum or less across all contracts with it.
  • Tier B (long-form clause set) — use for suppliers risk-tiered Medium or High. This captures our identified higher-risk categories (construction and land development, cleaning, catering, promotional goods, temporary or agency labour), any contract involving subcontracted or migrant labour, any supplier whose total expected spend exceeds £10,000 per annum across all contracts with it, any supplier in a Medium or High geography band, and any contract flagged as elevated or high risk in the Risk and Control Register.

Spend is measured per supplier across all contracts with that supplier, not per contract — the same basis as the spend override in the Supplier Due Diligence Procedure and Modern Slavery Questionnaire, so three £4,000 contracts with one supplier put that supplier in Tier B.

Where in doubt, the contract manager must consult the Chief Risk Officer (Modern Slavery Lead), who decides the tier, before finalising which tier applies. Every contract must record the risk tier applied and the named contract manager in the contracts repository.

Note: Where a contract uses Tier B, or is governed by law outside the UK, the CRO arranges a solicitor's review of the clause set as adapted to that contract before signature.

Tier A — Short-form warranty clause

Use for low-risk, low-value contracts. Insert as a standalone clause block headed "Modern Slavery", renumbering only the clause block's own prefix to fit the host contract's scheme; the internal numbering 1–3 and the cross-references between them stay as drafted.

1 The Supplier warrants that it complies, and will continue to comply throughout the term of this agreement, with the UK Modern Slavery Act 2015 and with BONDAP's Supplier Code of Conduct (as provided to the Supplier and updated from time to time), including in respect of its own subcontractors and labour providers.

2 The Supplier shall notify BONDAP in writing without undue delay, and in any event within 5 business days, if it becomes aware of any actual or suspected instance of modern slavery, forced labour, human trafficking or child labour in its own operations or its supply chain that relates to the performance of this agreement.

3 BONDAP may terminate this agreement immediately on written notice if: (a) the Supplier is in material breach of clause 1 or 2 and, where the breach is capable of remedy, fails to remedy it within 14 days of being notified; or (b) an actual instance of modern slavery, forced labour or human trafficking is confirmed in the Supplier's or a subcontractor's operations relating to this agreement.

Tier B — Long-form clause set

Use for high-risk categories and higher-value contracts. Insert as a dedicated schedule or clause block.

1. Definitions

1.1 "Modern Slavery" means any conduct that would constitute an offence under the UK Modern Slavery Act 2015, including forced or compulsory labour, slavery, servitude and human trafficking, and equivalent conduct prohibited under the ILO core conventions.

1.2 "Code of Conduct" means BONDAP's Supplier Code of Conduct as provided to the Supplier and as updated from time to time on reasonable notice.

1.3 "Subcontractor" includes any person or entity engaged by the Supplier, directly or indirectly, to perform any part of this agreement, including labour or recruitment agencies.

2. Compliance warranty

2.1 The Supplier warrants that it, and each of its Subcontractors, complies and will continue to comply throughout the term of this agreement with: (a) the UK Modern Slavery Act 2015; (b) all applicable local law relating to labour standards, recruitment and human trafficking; and (c) the Code of Conduct — applying whichever standard is stricter.

2.2 The Supplier warrants that neither it nor any Subcontractor has been convicted of any offence relating to Modern Slavery, nor is or has been subject to any investigation, prosecution or enforcement action relating to Modern Slavery, save as disclosed to BONDAP in writing before the date of this agreement.

3. Flow-down to subcontractors and agencies

3.1 The Supplier shall impose obligations on each Subcontractor equivalent to those in this clause, and shall remain responsible to BONDAP for each Subcontractor's compliance.

3.2 On BONDAP's reasonable request, the Supplier shall disclose the identity and location of any Subcontractor or recruitment/labour agency engaged in connection with this agreement.

4. No worker-paid recruitment fees

4.1 The Supplier shall ensure that no worker engaged in the performance of this agreement, whether directly employed or supplied by a Subcontractor or agency, is charged any recruitment, placement, visa or related fee in connection with obtaining that work. Any such fees identified must be reimbursed to the affected worker by the Supplier or relevant Subcontractor within 30 days of identification, and evidence of reimbursement provided to BONDAP.

4.2 The Supplier shall ensure that no worker's identity or travel documents are retained by the Supplier, a Subcontractor or any agency other than at the worker's own request and for the worker's own convenience.

5. Audit and information rights

5.1 The Supplier shall, within 10 business days of a written request, provide BONDAP with such information, records or completed questionnaires (including BONDAP's Modern Slavery Questionnaire) as BONDAP reasonably requires to verify compliance with this clause.

5.2 BONDAP, or a third party appointed by BONDAP, may audit the Supplier's (and, where necessary, a Subcontractor's) relevant records, premises and labour practices on no less than 10 business days' written notice, during normal business hours, no more than once in any 12-month period save where BONDAP reasonably suspects a breach.

6. Incident notification

6.1 The Supplier shall notify BONDAP in writing without undue delay, and in any event within 5 business days of becoming aware, of any actual or suspected instance of Modern Slavery arising in its own operations or those of any Subcontractor that relates in any way to the performance of this agreement.

6.2 The notification shall include all information reasonably available to the Supplier concerning the nature, scope and any workers affected, and shall be updated as further information becomes available.

7. Remediation

7.1 Where a compliance gap or incident is identified under this clause, the Supplier shall, within 10 business days of a request from BONDAP, submit a written remediation plan setting out the corrective actions and timescales, giving priority to the safety and interests of any affected worker.

7.2 The Supplier shall implement the agreed remediation plan and provide BONDAP with evidence of completion within the agreed timescale.

8. Termination

8.1 BONDAP may terminate this agreement immediately on written notice if: (a) the Supplier is in material breach of any warranty in clause 2, and, where capable of remedy, fails to remedy it within 14 days of notice; or (b) an actual instance of Modern Slavery is confirmed in the Supplier's or a Subcontractor's operations relating to this agreement.

8.2 Termination under this clause is without prejudice to any other right or remedy available to BONDAP.

9. Survival

9.1 Clauses 1, 4.1 (in respect of reimbursement), 5, 6, 7 and 9 shall survive termination or expiry of this agreement.

Contract managers: record the tier applied, the risk category, and this contract's named contract manager in the contracts repository at the time of signature, in line with the Risk Management Framework.
